TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Vinculum platform (“Vinc”, “we”, “us”, “our”), including our website, digital business card system, analytics dashboard, CRM integrations, mobile and web applications, and any physical NFC products (“Service”).

By creating an account, purchasing hardware, or using any part of the Service, you agree to these Terms. If you do not agree, you must discontinue use of the Service.

Until a legal business entity is formed, Vinculum is operated by an individual provider under the trading name “Vinculum.”

1. Eligibility & Accounts

  1. You must be at least 18 years old to use the Service.
  2. You are responsible for all activity under your account and for keeping your credentials confidential.
  3. You must provide accurate and up-to-date information.
  4. We may suspend or terminate accounts that violate these Terms or pose risks to the platform or other users.

2. Description of the Service

Vinc provides professional networking tools including:

• Digital business cards accessible via URL, QR code, or NFC tap

• Lead capture and contact management tools

• Analytics and engagement reporting

• CRM integrations (e.g., HubSpot, Odoo)

• NFC-enabled hardware products

We may modify, add, or remove features at any time.

3. Subscriptions, Billing & Payments

3.1 Subscription Plans

We offer free and paid subscription tiers, including Launch, Grow, Scale, and Enterprise.

3.2 Billing

• Paid plans renew automatically (monthly or yearly).

• By providing a payment method, you authorize recurring charges.

• Failure to pay may result in immediate service suspension.

3.3 Late Payments

If any payment is overdue:

  1. A fixed 10% late interest charge applies to the outstanding amount.
  2. We may suspend the Service without prior notice.
  3. If payment remains outstanding for more than 60 days, the account may be sent to a debt collection agency. You will be responsible for all legal and recovery costs.

3.4 Cancellation & Refunds

• You may cancel at any time through your dashboard.

• All payments are non-refundable, except where required by law.

• Access remains active until the end of the billing period.

3.5 Taxes and Withholding

All fees are exclusive of taxes.

If your jurisdiction requires withholding at source, you are responsible for paying such taxes directly to the authorities.

Vinc must receive the full invoice amount, and no withholding may be deducted under any circumstances.

4. User Content & Data Ownership

4.1 Ownership

You own the content you upload (profile info, logos, photos, etc.). You grant us a limited license to host and display this content solely to operate the Service.

4.2 Lead Data

Lead data collected through your card or NFC products belongs to you. We store it on your behalf.

4.3 Data Loss Disclaimer

We take reasonable measures to protect your data, but we do not guarantee against data loss. You are responsible for exporting and backing up your own leads and analytics.

4.4 Prohibited Content

You may not upload:

• Illegal, defamatory, or hateful material

• Malware or malicious links

• Copyrighted content you do not own

• Sensitive personal data without proper consent

We may remove content that violates the law or these Terms.

5. Platform Use & Acceptable Use Policy

You agree not to:

  1. Use the Service for spam, phishing, or unsolicited marketing
  2. Violate GDPR, CAN-SPAM, or similar data protection laws
  3. Reverse engineer, clone, or scrape any part of the Service
  4. Attempt to access another user’s data without authorization
  5. Harm or disrupt the platform or its reputation

Violation may lead to suspension or termination without refund.

6. Intellectual Property

All platform code, features, branding, text, algorithms, analytics, and design assets are owned by Vinc.

You receive a limited, non-transferable, revocable license to use the Service.

You may not:

• Copy or modify the platform

• Create derivative works

• Use our branding without permission

7. Multi-Tenant Data Isolation

The Service operates on a multi-tenant cloud system.

While we apply strict controls, you acknowledge that:

• Perfect isolation cannot be guaranteed

• Isolation issues may occur due to user misconfiguration or third-party hosting

• Vinc is not liable for any cross-tenant visibility arising from factors outside our reasonable control

You are responsible for managing sharing permissions and access controls.

8. Beta Features

Beta, experimental, or early-release features may be offered.

By opting into beta features, you acknowledge:

• They may be incomplete, unstable, or discontinued

• No warranties or uptime guarantees apply

• You use them at your own risk

• Data generated from beta features may be inaccurate or lost

9. NFC Hardware Products

  1. No Returns Accepted:
    All hardware sales are final. No returns, exchanges, or refunds are accepted except where required by Bosnian consumer protection law for manufacturing defects.
  2. Compatibility:
    NFC compatibility varies by device. We cannot guarantee that all smartphones will read NFC tags reliably.
  3. Warranty:
    Hardware is warranted only against manufacturing defects for one year.
    This does not cover wear, misuse, water exposure, or physical damage.

10. Third-Party Integrations

The Service may integrate with tools such as HubSpot, Odoo, and email platforms.

• We are not responsible for the availability, performance, or actions of third-party services.

• API changes may cause integrations to stop functioning.

• Continued compatibility is not guaranteed.

Your use of third-party systems is governed by their respective terms.

11. Service Availability

• We strive for high uptime but do not guarantee uninterrupted access.

• Outages may occur due to maintenance, hosting provider failures, or external events.

• Enterprise SLAs apply only when explicitly agreed upon in writing.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Fitness for a particular purpose

• Non-infringement

• Accuracy of analytics, geolocation, or device data

• Continuous or error-free operation

• Expected business outcomes or results

Analytics and geolocation data are estimates only.

No Guarantee of Results:

Vinc’s obligations are best-effort only. We do not guarantee conversions, business outcomes, or performance results. We cannot be named as a party to any dispute between you and your customers.

13. Limitation of Liability

To the maximum extent permitted by law, Vinc shall not be liable for:

  1. Indirect, incidental, special, consequential, or punitive damages
  2. Lost profits, revenue, opportunities, or goodwill
  3. Loss of data, leads, or content
  4. Hardware incompatibility or device limitations

Total liability is limited to the amount you paid in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold Vinc harmless from all claims, damages, liabilities, legal fees, and expenses arising from:

• Your use of the Service

• Your content or lead data

• Your breach of these Terms

• Your violation of laws or third-party rights

15. Claims Deadline

Any claim relating to billing, hardware, service access, or performance must be submitted in writing within 8 days of the event.

Claims submitted after this period will be considered invalid.

16. Termination

We may suspend or terminate accounts for violations, fraud, nonpayment, or misuse.

Upon termination, your access ends immediately.

We may retain data as required by law or for legitimate business interests.

17. Changes to Terms

We may update these Terms at any time.

Significant changes will be communicated via email or dashboard.

Continued use after updates constitutes acceptance.

18. Governing Law & Dispute Resolution

These Terms are governed exclusively by the laws of the Federation of Bosnia & Herzegovina.

All disputes shall be resolved solely by the competent courts located in the Federation of BiH.

You agree to the jurisdiction of these courts.
